We have audited the accompanying financial statements of National Standard (India) Limited (âthe Companyâ), which
comprise the Balance Sheet as at March 31, 2025, and the Statement of Profit and Loss, including Other Comprehensive
Income, Statement of Changes in Equity and Statement of Cash Flows for the year then ended, and notes to the financial
statements, including material accounting policy information and other explanatory information (hereinafter referred to as the
âfinancial statementsâ).
In our opinion and to the best of our information and according to the explanations given to us, the aforesaid financial statements
give the information required by the Companies Act, 2013 (âthe Actâ) in the manner so required and give a true and fair view
in conformity with the Indian Accounting Standards prescribed under section 133 of the Act read with Companies (Indian
Accounting Standards) Rules, 2015, as amended (âInd ASâ) and other accounting principles generally accepted in India, of
the state of affairs of the Company as at March 31, 2025, and profit (including other comprehensive income), changes in equity
and its cash flows for the year ended on that date.
We conducted our audit of the financial statements in accordance with the Standards on Auditing (SAs) specified under
section 143(10) of the Act. Our responsibilities under those Standards are further described in the ''Auditor''s Responsibilities
for the Audit of the Financial Statements'' section of our report. We are independent of the Company in accordance with the
Code of Ethics issued by the Institute of Chartered Accountants of India (âICAIâ) together with the ethical requirements that
are relevant to our audit of the financial statements under the provisions of the Act and the Rules thereunder, and we have
fulfilled our other ethical responsibilities in accordance with these requirements and the Code of Ethics. We believe that the
audit evidence obtained by us is sufficient and appropriate to provide a basis for our opinion.
We have determined that there are no key audit matters to communicate in our report.
The Company''s Board of Directors is responsible for the other information. The other information comprises the Director''s
report & Management Discussion and Analysis but does not include the financial statements and our auditor''s report thereon.
The Director''s report & Management Discussion and Analysis is expected to be made available to us after the date of this
auditor''s report.
Our opinion on the financial statements does not cover the other information and we do not express any form of assurance
conclusion thereon.
In connection with our audit of the financial statements, our responsibility is to read the other information and, in doing so,
consider whether such other information is materially inconsistent with the financial statements or our knowledge obtained in
the audit or otherwise appears to be materially misstated.
When we read the Director''s report & Management Discussion and Analysis, if we conclude that there is a material
misstatement therein, we are required to communicate the matter to those charged with governance under SA 720 ''The
Auditor''s responsibilities relating to other information''.
The Company''s Board of Directors is responsible for the matters stated in section 134(5) of the Act with respect to the
preparation of these financial statements that give a true and fair view of the financial position, financial performance, changes
in equity and cash flows of the Company in accordance with the accounting principles generally accepted in India, including
the Accounting Standards specified under section 133 of the Act. This responsibility also includes maintenance of adequate
accounting records in accordance with the provisions of the Act for safeguarding of the assets of the Company and for
preventing and detecting frauds and other irregularities; selection and application of appropriate accounting policies; making
judgments and estimates that are reasonable and prudent; and design, implementation and maintenance of adequate internal
financial controls, that were operating effectively for ensuring the accuracy and completeness of the accounting records,
relevant to the preparation and presentation of the financial statement that give a true and fair view and are free from material
misstatement, whether due to fraud or error.
In preparing the financial statements, the Management and Board of Directors are responsible for assessing the Company''s
ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern
basis of accounting unless the Board of Directors either intends to liquidate the Company or to cease operations, or has no
realistic alternative but to do so.
The Board of Directors are also responsible for overseeing the Company''s financial reporting process.
Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material
misstatement, whether due to fraud or error, and to issue an auditor''s report that includes our opinion. Reasonable assurance
is a high level of assurance, but is not a guarantee that an audit conducted in accordance with SAs will always detect a
material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually
or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of
these financial statements.
We give in âAnnexure Aâ a detailed description of Auditor''s responsibilities for Audit of the Financial Statements.
1. As required by the Companies (Auditor''s Report) Order, 2020 (âthe Orderâ), issued by the Central Government of India
in terms of sub-section (11) of section 143 of the Act, we give in âAnnexure Bâ a statement on the matters specified in
paragraphs 3 and 4 of the Order, to the extent applicable.
2. As required by Section 143(3) of the Act, we report that:
(a) We have sought and obtained all the information and explanations which to the best of our knowledge and belief
were necessary for the purposes of our audit.
(b) In our opinion, proper books of account as required by law have been kept by the Company so far as it appears from
our examination of those books.
(c) The Balance Sheet, the Statement of Profit and Loss including other comprehensive income, the Statement of
Changes in Equity and the Statement of Cash Flow dealt with by this Report are in agreement with the books of account.
(d) In our opinion, the aforesaid financial statements comply with the Indian Accounting Standards specified under
Section 133 of the Act.
(e) On the basis of the written representations received from the directors as on March 31,2025 taken on record by the
Board of Directors, none of the directors are disqualified as on March 31, 2025 from being appointed as a director in
terms of Section 164 (2) of the Act.
(f) With respect to the adequacy of the internal financial controls with reference to financial statements of the Company
and the operating effectiveness of such controls, refer to our separate Report in âAnnexure Câ.
(g) With respect to the other matters to be included in the Auditor''s Report in accordance with Rule 11 of the Companies
(Audit and Auditors) Rules, 2014, in our opinion and to the best of our information and according to the explanations
given to us:
i. The Company has disclosed the impact of pending litigations on its financial position in its financial statements
- Refer Note 27 to the financial statements;
ii. The Company did not have any long-term contracts including derivative contracts for which there were any
material foreseeable losses.
iii. There were no amounts which were required to be transferred to the Investor Education and Protection Fund
by the Company.
iv. A) The Management has represented that, to the best of its knowledge and belief, no funds have been
advanced or loaned or invested (either from borrowed funds or share premium or any other sources
or kind of funds) by the Company to or in any other person(s) or entity(ies), including foreign entities
(âIntermediariesâ), with the understanding, whether recorded in writing or otherwise, that the Intermediary
shall, directly or indirectly lend or invest in other persons or entities identified in any manner whatsoever
by or on behalf of the Company (âUltimate Beneficiariesâ) or provide any guarantee, security or the like on
behalf of the Ultimate Beneficiaries.
B) The Management has represented, that, to the best of its knowledge and belief, no funds have been
received by the Company from any person(s) or entity(ies), including foreign entities (Funding Parties),
with the understanding, whether recorded in writing or otherwise, as on the date of this audit report, that
the Company shall, directly or indirectly, lend or invest in other persons or entities identified in any manner
whatsoever by or on behalf of the Funding Party (âUltimate Beneficiariesâ) or provide any guarantee,
security or the like on behalf of the Ultimate Beneficiaries.
C) Based on the audit procedures performed that have been considered reasonable and appropriate in the
circumstances, and according to the information and explanations provided to us by the Management in
this regard, nothing has come to our notice that has caused us to believe that the representations under
sub-clause (i) and (ii) of Rule 11(e) as provided under (a) and (b) above, contain any material misstatement.
v. The Company has neither declared nor paid any dividend during the year.
vi. Based on our examination, which includes test checks, the Company has used an accounting software for
maintaining its books of account which has a feature of recording audit trail (edit log) facility and the same has
operated throughout the year for all relevant transactions recorded in the software. Further, during the course
of our audit, we did not come across any instance of the audit trail feature being tampered with. Additionally, the
audit trail of prior year has been preserved by the Company as per the statutory requirements for record retention.
3. In our opinion, according to information, explanations given to us, there is no remuneration paid by the Company to its
directors during the year and hence provisions of section 197 is not applicable to the Company.

v. Â Â Â The Company has neither declared nor paid any dividend during the year.
vi.    As proviso to rule 3(1) of the Companies (Accounts) Rules, 2014 is applicable for the company only w.e.f. April 1, 2023, reporting under this clause is not applicable.
3. In our opinion, according to information, explanations given to us, the remuneration paid by the Company to its directors is within the limits laid prescribed under Section 197 of the Act and the rules thereunder.

In connection with our audit of the financial statements, our responsibility is to read the other information and, in doing so, consider whether the other information is materially inconsistent with the financial statements or our knowledge obtained in the audit or otherwise appears to be materially misstated. If, based on the work we have performed, we conclude that there is a material misstatement of this other information, we are required to report that fact. We have nothing to report in this regard.
Responsibilities of Management and Those Charged with Governance for the Financial Statements
The Company''s Board of Directors is responsible for the matters stated in section 134(5) of the Act with respect to the preparation of these financial statements that give a true and fair view of the financial position, financial performance, changes in equity and cash flows of the Company in accordance with the accounting principles generally accepted in India, including the Accounting Standards specified under section 133 of the Act. This responsibility also includes maintenance of adequate accounting records in accordance with the provisions of the Act for safeguarding of the assets of the Company and for preventing and detecting frauds and other irregularities; selection and application of appropriate accounting policies; making judgments and estimates that are reasonable and prudent; and design, implementation and maintenance of adequate internal financial controls, that were operating effectively for ensuring the accuracy and completeness of the accounting records, relevant to the preparation and presentation of the financial statement that give a true and fair view and are free from material misstatement, whether due to fraud or error.
In preparing the financial statements, the Board of Directors is responsible for assessing the Company''s ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless the Board of Directors either intends to liquidate the Company or to cease operations, or has no realistic alternative but to do so.
Those Board of Directors are also responsible for overseeing the Company''s financial reporting process.
Auditor''s Responsibilities for the Audit of the Financial Statements
Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue an auditor''s report that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with SAs will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements.
We give in âAnnexure Aâ a detailed description of Auditor''s responsibilities for Audit of the Financial Statements.
Report on Other Legal and Regulatory Requirements
1. As required by the Companies (Auditor''s Report) Order, 2020 (âthe Orderâ), issued by the Central Government of India
in terms of sub-section (11) of section 143 of the Act, we give in âAnnexure Bâ a statement on the matters specified in
paragraphs 3 and 4 of the Order, to the extent applicable.
2. As required by Section 143(3) of the Act, we report that:
(a) We have sought and obtained all the information and explanations which to the best of our knowledge and belief were necessary for the purposes of our audit.
(b) In our opinion, proper books of account as required by law have been kept by the Company so far as it appears from our examination of those books.
(c) The Balance Sheet, the Statement of Profit and Loss, the Statement of Changes in Equity and the Statement of Cash Flow dealt with by this Report are in agreement with the books of account.
(d) In our opinion, the aforesaid financial statements comply with the Indian Accounting Standard specified under Section 133 of the Act.
(e) On the basis of the written representations received from the directors as on March 31,2022 taken on record by the Board of Directors, none of the directors are disqualified as on March 31, 2022 from being appointed as a director in terms of Section 164 (2) of the Act.
(f) With respect to the adequacy of the internal financial controls with reference to financial statements of the Company and the operating effectiveness of such controls, refer to our separate Report in âAnnexure Câ.
(g) With respect to the other matters to be included in the Auditor''s Report in accordance with Rule 11 of the Companies (Audit and Auditors) Rules, 2014, in our opinion and to the best of our information and according to the explanations given to us:
i. The Company has disclosed the impact of pending litigations on its financial position in its financial statements - Refer Note 30(b) to the financial statements;
ii. The Company did not have any long-term contracts including derivative contracts for which there were any material foreseeable losses;
iii. There were no amounts which were required to be transferred to the Investor Education and Protection Fund by the Company.
iv. a. The Management has represented that, to the best of it''s knowledge and belief, no funds have been
advanced or loaned or invested (either from borrowed funds or share premium or any other sources or kind of funds) by the Company to or in any other person(s) or entity(ies), including foreign entities (âIntermediariesâ), with the understanding, whether recorded in writing or otherwise, that the Intermediary shall, directly or indirectly lend or invest in other persons or entities identified in any manner whatsoever by or on behalf of the Company (âUltimate Beneficiariesâ) or provide any guarantee, security or the like on behalf of the Ultimate Beneficiaries.
b. The Management has represented that, to the best of it''s knowledge and belief, no funds have been received by the Company from any person / entity, including foreign entities, with the understanding, whether recorded in writing or otherwise, as on the date of this audit report, that the company has directly or indirectly, lend or invest in other persons or entities identified in any manner whatsoever by or on behalf of the Funding Party (âUltimate Beneficiariesâ) or provide any guarantee, security or the like on behalf of the Ultimate Beneficiaries;
c. Based on our audit procedures which we have considered reasonable and appropriate in the circumstances and according to the information and explanations provided to us by the Management in this regard, nothing has come to our notice that has caused us to believe that the representations made by the Management under sub-clause (1) and (2) above contain any material misstatement.
v. The Company has neither declared nor paid any dividend during the year.
3. As required by The Companies (Amendment) Act, 2017, in our opinion, according to information, explanations given to us, the remuneration paid by the Company to its directors is within the limits prescribed under Section 197 of the Act and the rules thereunder.

We have audited the financial statements of National Standard (India) Limited (âthe Companyâ), which comprise the balance sheet as at March 31, 2021 and the statement of profit and loss, statement of changes in equity and statement of cash flows for the year then ended, and notes to the financial statements, including a summary of significant accounting policies and other explanatory information.
In our opinion and to the best of our information and according to the explanations given to us, the aforesaid financial statements give the information required by the Companies Act, 2013 (âthe Act'') in the manner so required and give a true and fair view in conformity with the Indian Accounting Standards prescribed under section 133 of the Act read with Companies (Indian Accounting Standards) Rules, 2015 as amended and other accounting principles generally accepted in India, of the state of affairs of the Company as at March 31, 2021, and profit, changes in equity and its cash flows for the year ended on that date.
We conducted our audit in accordance with the Standards on Auditing (SAs) specified under section 143(10) of the Act. Our responsibilities under those Standards are further described in the Auditor''s Responsibilities for the Audit of the Financial Statements section of our report. We are independent of the Company in accordance with the Code of Ethics issued by the Institute of Chartered Accountants of India (ICAI) together with the ethical requirements that are relevant to our audit of the financial statements under the provisions of the Act and the Rules thereunder, and we have fulfilled our other ethical responsibilities in accordance with these requirements and the Code of Ethics. We draw attention to Note 29(iv) to the financial statements which describes the management''s assessment of the COVID -19 pandemic on the Company''s results and the extent to which it will impact the Company''s operations is dependent upon future developments, which remain uncertain.

Management''s Responsibility for the Ind AS Financial Statements
The Company''s Board of Directors is responsible for the matters stated in Section 134(5) of the Companies Act, 2013 (âthe Actâ) with respect to the preparation of these Ind AS financial statements that give a true and fair view of the state of affairs (financial position), profit or loss (financial performance including other comprehensive income), cash flows and changes in equity of the Company in accordance with the Indian Accounting Standards (Ind AS) prescribed under Section 133 of the Act, read with Rule 7 of the Companies (Accounts) Rules, 2014 and the Companies (Indian Accounting Standards) Rules, 2015, as amended, and the accounting principles generally accepted in India.

Our responsibility is to express an opinion on these Ind AS financial statements based on our audit.
We have taken into account the provisions of the Act, the accounting and auditing standards and matters which are required to be included in the audit report under the provisions of the Act and the Rules made thereunder.
We conducted our audit of the Ind AS financial statements in accordance with the Standards on Auditing specified under Section 143(10) of the Act. Those Standards require that we comply with ethical requirements and plan and perform the audit to obtain reasonable assurance about whether the Ind AS financial statements are free from material misstatement.
An audit involves performing procedures to obtain audit evidence about the amounts and the disclosures in the Ind AS financial statements. The procedures selected depend on the auditor''s judgment, including the assessment of the risks of material misstatement of the Ind AS financial statements, whether due to fraud or error. In making those risk assessments, the auditor considers internal financial control relevant to the Company''s preparation of the Ind AS financial statements that give a true and fair view in order to design audit procedures that are appropriate in the circumstances. An audit also includes evaluating the appropriateness of the accounting policies used and the reasonableness of the accounting estimates made by the Company''s Directors, as well as evaluating the overall presentation of the Ind AS financial statements.

Management''s Responsibility for Internal Financial Controls
The Company''s Management is responsible for establishing and maintaining internal financial controls based on the internal control over financial reporting criteria established by the Company considering the essential components of internal control stated in the Guidance Note on Audit of Internal Financial Controls over Financial Reporting issued by the Institute of Chartered Accountants of India (ICAI) (the âGuidance Noteâ). These responsibilities include the design, implementation and maintenance of adequate internal financial controls that were operating effectively for ensuring the orderly and efficient conduct of its business, including adherence to Company''s policies, the safeguarding of its assets, the prevention and detection of frauds and errors, the accuracy and completeness of the accounting records, and the timely preparation of reliable financial information, as required under the Act.
Auditors'' Responsibility
Our responsibility is to express an opinion on the Company''s internal financial controls over financial reporting based on our audit. We conducted our audit in accordance with the Guidance Note and the Standards on Auditing, issued by ICAI and deemed to be prescribed under section 143(10) of the Act, to the extent applicable to an audit of internal financial controls. Those Standards and the Guidance Note require that we comply with ethical requirements and plan and perform the audit to obtain reasonable assurance about whether adequate internal financial controls over financial reporting was established and maintained and if such controls operated effectively in all material respects.
Our audit involves performing procedures to obtain audit evidence about the adequacy of the internal financial controls system over financial reporting and their operating effectiveness. Our audit of internal financial controls over financial reporting included obtaining an understanding of internal financial controls over financial reporting, assessing the risk that a material weakness exists, and testing and evaluating the design and operating effectiveness of internal control based on the assessed risk. The procedures selected depend on the auditor''s judgement, including the assessment of the risks of material misstatement of the financial statements, whether due to fraud or error.

Meaning of Internal Financial Controls over Financial Reporting
A Company''s internal financial control over financial reporting is a process designed to provide reasonable assurance regarding the reliability of financial reporting and the preparation of financial statements for external purposes in accordance with generally accepted accounting principles. A Company''s internal financial control over financial reporting includes those policies and procedures that (1) pertain to the maintenance of records that, in reasonable detail, accurately and fairly reflect the transactions and dispositions of the assets of the company; (2) provide reasonable assurance that transactions are recorded as necessary to permit preparation of financial statements in accordance with generally accepted accounting principles, and that receipts and expenditures of the company are being made only in accordance with authorizations of management and directors of the company; and (3) provide reasonable assurance regarding prevention or timely detection of unauthorized acquisition, use, or disposition of the company''s assets that could have a material effect on the financial statements.
Inherent Limitations of Internal Financial Controls Over Financial Reporting
Because of the inherent limitations of internal financial controls over financial reporting, including the possibility of collusion or improper management override of controls, material misstatements due to error or fraud may occur and not be detected. Also, projections of any evaluation of the internal financial controls over financial reporting to future periods are subject to the risk that the internal financial control over financial reporting may become inadequate because of changes in conditions, or that the degree of compliance with the policies or procedures may deteriorate.
Opinion
In our opinion, the Company has, in all material respects, an adequate internal financial controls system over financial reporting and such internal financial controls over financial reporting were operating effectively as at March 31, 2018, based on the internal control over financial reporting criteria established by the Company considering the essential components of internal control stated in the Guidance Note.
ANNEXURE B TO INDEPENDENT AUDITORS'' REPORT OF EVEN DATE ON THE FINANCIAL STATEMENTS OF NATIONAL STANDARD (INDIA) LIMITED FOR THE YEAR ENDED MARCH 31, 2018
[Referred to in paragraph 2 under ''Report on Other Legal and Regulatory Requirements'' in the Independent Auditors'' Report]
i. (a) The Company has maintained proper records showing full particulars including quantitative details and situation of fixed assets.
(b) All the fixed assets have been physically verified by the management during the year and no material discrepancies were identified on such verification.
(c) The Company does not have any immovable property (in the nature of fixed asset). Accordingly the provision stated in paragraph 3 (i) (c) of the Order are not applicable to the company.
ii. The inventory has been physically verified during the year by the management. In our opinion, the frequency of verification is reasonable. No material discrepancies were noticed on verification between the physical stock and the book records.
iii. The Company has not granted any loans, secured or unsecured to Companies, Firms, Limited Liability Partnerships (LLP) or other parties covered in the register maintained under section 189 of the Companies Act, 2013 (''the Act''). Accordingly, the provisions stated in paragraph 3 (iii) (a) to (c) of the Order are not applicable to the Company.
iv. In our opinion and according to the information and explanations given to us, the Company has not either directly or indirectly, granted any loan to any of its directors or to any other person in whom the director is interested, in accordance with the provisions of section 185 of the Act and the Company has not made investments through more than two layers of investment companies in accordance with the provisions of section 186 of the Act. Accordingly, provisions stated in paragraph 3(iv) of the Order are not applicable to the Company.
v. In our opinion and according to the information and explanations given to us, there are no amounts outstanding which are in nature of deposit as on March 31, 2018 and the Company has not accepted any deposits during the year.
vi. We have broadly reviewed the books of account relating to materials, labour and other items of cost maintained by the Company pursuant to the rules made by the Central Government for the maintenance of cost records under sub-section (1) of section 148 of the Act and we are of the opinion that prima facie the prescribed accounts and records have been made and maintained. We have not, however, made a detailed examination of the records with a view to determine whether they are accurate or complete.
vii. (a) According to the information and explanations given to us and the records of the Company examined by us, in our opinion, the Company is generally regular in depositing with appropriate authorities undisputed statutory dues including income-tax, goods and service tax, sales-tax, service tax, value added tax, cess and any other statutory dues applicable to it. Further, no undisputed amounts payable in respect thereof were outstanding at the year-end for the period of more than six months from the date they become payable.
(b) According to the information and explanation given to us and examination of records of the Company, the outstanding dues of income-tax on account of any dispute, are as follows:

viii. In our opinion and according to the information and explanations given to us, the Company has not defaulted in repayment of dues to the financial institution and does not have any loans or borrowings from any banks, government or debenture holders.
ix. The Company did not raise moneys by way of initial public offer or further public offer (including debt instruments) and term loan during the year. Accordingly, the provision stated in paragraph 3 (ix) of the Order are not applicable to the Company.
x. To the best of our knowledge and according to the information and explanations given to us, no fraud by the Company and no material fraud on the Company by its officers or employees has been noticed or reported during the year.
xi. According to the information and explanations given to us and the records of the Company examined by us, in our opinion, the Company has not paid for managerial remuneration. Accordingly, the provision stated in paragraph 3 (xi) of the Order are not applicable to the Company.
xii. In our opinion and according to the information and explanations given to us, the Company is not a Nidhi Company. Accordingly, the provisions stated in paragraph 3(xii) of the Order are not applicable to the Company.
xiii. According to the information and explanations given to us and based on our examination of the records of the Company, transactions with the related parties are in compliance with sections 177 and 188 of the Act where applicable and details of such transactions have been disclosed in the financial statements as required by the applicable Indian Accounting Standards.
xiv. According to the information and explanations given to us and based on our examination of the records of the Company, the Company has not made any preferential allotment or private placement of shares or fully or partly convertible debentures during the year. Accordingly, the provisions stated in paragraph 3 (xiv) of the Order are not applicable to the Company.
xv. According to the information and explanations given to us and based on our examination of the records of the Company, the Company has not entered into non-cash transactions with directors or persons connected with him. Accordingly, provisions stated in paragraph 3(xv) of the Order are not applicable to the Company.
xvi. In our opinion, the Company is not required to be registered under section 45 IA of the Reserve Bank of India Act, 1934 and accordingly, the provisions stated in paragraph clause 3 (xvi) of the Order are not applicable to the Company.

We have audited the accompanying financial statements of M/s. NATIONAL
STANDARD (INDIA) LIMITED ("the Company"), which comprise the Balance
Sheet as at March 31, 2014, the Statement of Profit and Loss and Cash
Flow Statement for the year then ended, and a summary of significant
accounting policies and other explanatory information.
Management Responsibility for the financial statements:
Management is responsible for the preparation of these financial
statements that give a true and fair view of the financial position,
financial performance and cash flows of the Company in accordance with
the Accounting Standards referred to in sub-section (3C) of Section 211
of The Companies Act, 1956 ("the Act") (which continued to be
applicable in respect of Section 133 of The Companies Act, 2013 in
terms of general circular 15/2013 of the Ministry of Corporate
Affairs). This responsibility includes the design, implementation and
maintenance of internal control relevant to the preparation and
presentation of the financial statements that give a true and fair view
and are free from material misstatement, whether due to fraud or error.
Auditor''s Responsibility:
Our responsibility is to express an opinion on these financial
statements based on our audit. We conducted our audit in accordance
with the Standards on Auditing issued by The Institute of Chartered
Accountants of India. Those Standards require that we comply with
ethical requirements and plan and perform the audit to obtain
reasonable assurance about whether the financial statements are free
from material misstatement.
An audit involves performing procedures to obtain audit evidence about
the amounts and disclosures in the financial statements. The procedures
selected depend on the auditor''s judgment, including the assessment of
the risks of material misstatement of the financial statements, whether
due to fraud or error. In making those risk assessments, the auditor
considers internal control relevant to the Company''s preparation and
fair presentation of the financial statements in order to design audit
procedures that are appropriate in the circumstances , but not for the
purpose of expressing an opinion on the effectiveness of the Company''s
internal control An audit also includes evaluating the appropriateness
of accounting policies used and the reasonableness of the accounting
estimates made by management, as well as evaluating the overall
presentation of the financial statements.
We believe that the audit evidence we have obtained is suffcient and
appropriate to provide a basis for our audit opinion.
OPINION:
In our opinion and to the best of our information and according to the
explanations given to us, the financial statements give the information
required by the Act in the manner so required and give a true and fair
view in conformity with the accounting principles generally accepted in
India:
a. In the case of the Balance Sheet, of the state of affairs of the
Company as at March 31, 2014;
b. In the case of the Statement of Profit and Loss, of the Profit for
the year ended on that date; and
c. In the case of the Cash Flow Statement, of the cash flows for the
year ended on that date.
REPORT ON OTHER LEGAL AND REGULATORY REQUIREMENTS:
1. As required by The Companies (Auditor''s Report) Order, 2003 ("the
Order") issued by the Central Government of India in terms of
sub-section (4A) of Section 227 of the Act, we give in the Annexure a
statement on the matters specified in paragraphs 4 and 5 of the Order.
2. As required by Section 227(3) of the Act, we report that:
a. We have obtained all the information and explanations which to the
best of our knowledge and belief were necessary for the purpose of our
audit;
b. In our opinion, proper books of account as required by law have
been kept by the Company so far as appears from our examination of
those books;
c. The Balance Sheet, Statement of Profit and Loss and Cash Flow
Statement dealt with by this Report are in agreement with the books of
account;
d. In our opinion, the Balance Sheet, Statement of Profit and Loss and
Cash Flow Statement comply with the Accounting Standards referred to in
sub-section (3C) of Section 211 of the Act;
e. On the basis of written representations received from the directors
as on March 31, 2014, and taken on record by the Board of Directors,
none of the Directors is disqualified as on March 31, 2014, from being
appointed as a Director in terms of clause (g) of sub-section (1) of
Section 274 of the Act.
ANNEXURE TO THE INDEPENDENT AUDITORS'' REPORT
(REFERRED TO IN PARAGRAPH (1) OF OUR REPORT OF EVEN DATE)
1. a) The Company is maintaining proper records showing full
particulars including quantitative details and situation of the
fixed assets.
b) As informed to us, all fixed assets have been physically verifed by
the management. No material discrepancies were noticed on such physical
verifcation.
c) No fixed assets have been disposed off by the Company during the
year.
2. a) The inventory has been physically verifed by the management. In
our opinion, the frequency of verifcation is reasonable.
b) The procedures for physical verifcation of inventory followed by the
management are reasonable and adequate in relation to the size of the
Company and nature of its business.
c) The Company has maintained proper records of inventories and
discrepancies noticed on physical verifcation of inventories as
compared to book records were not material.
3. As the Company has neither granted nor taken any loans, secure or
unsecured, to or from companies, firms or other parties covered in the
register maintained under section 301 of the Act, the provision of
clause (iii) of paragraph 4 of the Order is not applicable to the
Company.
4. In our opinion and according to the information and explanations
given to us, the internal control system is commensurate with the size
of the Company and the nature of its business in respect of purchase of
inventory and fixed assets and for the sale of services (developed units
of buildings/ fats). During the course of our audit, we have not
observed any continuing failure to correct major weaknesses in the
internal control system.
5. a) In our opinion and according to the information and explanations
given to us, the Company has entered the required particulars of
contract or arrangement in the register maintained as referred to in
Section 301 of the Act.
b) In our opinion and according to the information and explanations
given to us, the transactions made in pursuance of such contracts or
arrangements, exceeding the value of Rs. 5,00,000 in respect of each
party, have been made at prices which are reasonable having regard to
prevailing market prices at the relevant time.
6. As the Company has not accepted any deposits from the public within
the meaning of Section 58A, 58AA or any other relevant provisions of
the Act and Rules framed there under, the provision of clause (vi) of
paragraph 4 of the Order is not applicable to the Company.
7. The Company has an internal audit system commensurate with its size
and nature of its business.
8. We have broadly reviewed the books of account maintained by the
Company pursuant to the Rules made by the Central Government for
maintenance of cost records under clause (d) of sub-section (1) of
Section 209 of the Act in respect real estate operations, and are of
the opinion that, prima facie, the prescribed accounts and records have
been made and maintained. However, we have not made a detailed
examination of the cost records with a view to determine whether they
are accurate or complete.
9. a) The Company is generally regular in depositing the undisputed
statutory dues including Provident Fund, Employees'' State Insurance,
Income Tax, Sales Tax Wealth Tax, Service Tax, Customs Duty, Excise
Duty, Cess and other material statutory dues applicable to the Company
with appropriate authorities.
According to the information and explanations given to us, there are no
undisputed statutory dues outstanding for a period of more than six
months as at 31st March, 2014 from the date they became payable.
b) According to the records of the Company, there are no dues in
respect of Sales Tax, Income Tax, Service Tax, Customs Duty, Wealth
Tax, Excise Duty and Cess, which have not been deposited on account of
any dispute except for the following:

10. The Company does not have any accumulated losses at the end of the
financial year and has not incurred cash losses during the financial year
covered by our audit and in the immediately preceding financial year.
11. In our opinion and according to information and explanations given
to us, the Company is generally regular in repayment of dues to
Financial Institutions except minor delay in payment of interest. The
Company has not issued any debentures, the question of dues payable to
debenture holders does not arise.
12. As the Company has not granted any loans and advances on the basis
of security by way of pledge of shares, debentures and other
securities, the provision of clause (xii) of paragraph 4 of the Order
is not applicable to the Company.
13. As the Company is not a chit fund or a nidhi / mutual benefit
fund/society, the provision of clause (xiii) of paragraph 4 of the
Order is not applicable to the Company.
14. As the Company is not dealing in or trading in shares, securities,
debentures and other investments, the provision of clause (xiv) of
paragraph 4 of the Order is not applicable to the Company.
15. As the Company has not given any guarantee or security for loan
taken by others from banks or financial institutions, the provision of
clause (xv) of paragraph 4 of the Order is not applicable to the
Company.
16. According to the information and explanations given to us, the
Company has not availed any term loan during the year.
17. On the basis of an overall examination of the balance sheet of the
Company, in our opinion and according to the information and
explanations given to us, the funds raised on short term basis have not
been used for long term investment.
18. As the Company has not made any preferential allotment of shares
to parties and companies covered in the register maintained under
Section 301 of the Act, the provision of clause (xviii) of paragraph 4
of the Order is not applicable to the Company.
19. As the Company has not issued any secured debentures, the
provision of clause (xix) of paragraph 4 of the Order is not applicable
to the Company.
20. As the Company has not raised any money through public issue, the
provision of clause (xx) of paragraph 4 of the Order is not applicable
to the Company.
21. Based upon the audit procedures performed and information and
explanations given by the management, we report that no fraud on or by

5. On the basis of written representations received from the Directors
of the Company as on 31st March, 2012 and taken on record by the Board
of Directors, we report that none of the directors is disqualified as
on 31st March, 2012, from being appointed as a Director in terms of
clause (g) of sub section (1) of Section 274 of the Act.
6. In our opinion and to the best of our information and according to
the explanations given to us, the said financial statements read
together with Significant Accounting Policies and notes thereon, give
the information required by the Act, in the manner so required and give
a true and fair view in conformity with the accounting principles

Company as at 31st March, 2012;

Discrepancies noticed on verification have been properly dealt with in

3. a) As the Company has not granted, secured or unsecured, loans to
any party covered in the register maintained under
Section 301 of the Act, the provision of clause (iii) of paragraph 4 of
the Order is not applicable to the Company.
b) According to information and explanations given to us, the company
has taken unsecured loan from one party covered in the register
maintained under Section 301 of the Act, the maximum amount involved
was Rs. 20,393,554. As the said party is not covered in the said
register on 31st March, 2012, balance outstanding as on that date is
not applicable.
c) In our opinion, the terms and conditions on which such loans have
been taken are not prima-facie, prejudicial to the interest of the
Company.
d) The principal amount and interest in respect of loans taken by the
Company are payable on demand. Therefore, there is no question of being
regular in payment of principal and interest.
4. In our opinion and according to the information and explanations
given to us, the internal control system is commensurate with the size
of the Company and the nature of its business in respect of purchase of
inventory and fixed assets and for the sale of services (developed
units of buildings/ flats). During the course of our audit, we have not
observed any continuing failure to correct major weaknesses in the
internal control system.
5. a) According to the information and explanations given to us, the
Company has entered the required particulars of
contracts or arrangement in the register maintained as referred to in
Section 301 of the Act.
b) In our opinion and according to the information and explanations
given to us, the transactions made in pursuance of such contracts or
arrangements aggregating during the year to Rs. 500,000 or more in
respect of each party, have been made at prices which are reasonable
having regard to prevailing market prices at the relevant time.
6. As the Company has not accepted any deposits from the public within
the meaning of Section 58A, 58AA or any other relevant provisions of
the Act and Rules framed there under, the provision of clause (vi) of
paragraph 4 of the Order is not applicable to the Company.
7. The Company has an internal audit system commensurate with its size
and nature of its business.
8. We have broadly reviewed the cost records maintained by the Company
pursuant to the Order of the Central Government under clause (d) of
sub- section (1) of Section 209 of the Act and are of the opinion, that
prima facie, the prescribed records have been made and maintained. We
are, however, not required to make a detailed examination of the
records with a view to determine whether they are accurate or complete.
9. a) The Company is generally regular in depositing the undisputed
statutory dues including Provident Fund, Employees'

a) Without qualifying our opinion, we draw your attention to Note no.
B(5) in Schedule XII regarding the appropriateness or otherwise of the
preparation of these accounts on going concern basis as the net-worth
of the Company has been completely eroded as at March 31, 2011. In our
opinion, the validity of the going concern basis would depend upon the
continuance of the existing funding by the present promoters of the
Company. The Accounts do not include adjustments,
if any, that boulder salt from discontinuance of the funding;
b) We have obtained all the information and explanations which to the
best of our knowledge and belief were necessary for the purposes of our
audit;
c) In our opinion, proper books of account, as required by law have
been kept by the Company so far as appears from our examination of
those books;
d) The Balance Sheet, Profit and Loss Account and Cash Flow Statement
dealt with by this report are in agreement with the books of account;
e) In our opinion, the Balance Sheet, Profit and Loss Account and Cash
Flow Statement dealt with by this report comply with theAccounting
Standards referred to in Section211 (3C)of the Act, to the extent applicable;
f) On the basis of written representations received from the Directors
as on 31st March, 2011, and taken on record by the Board of Directors,

Annexure referred to in our Report of even date on the Financial
Statements as on and for the year ended 31s' March, 2011 of NATIONAL
STANDARD (INDIA) LIMITED.
On the basis of our examination of the books and records of the Company
carried out in accordance with the auditing standards generally
accepted in India and according to the information and explanations
given to us during the course of audit, we state that:
1. a) The Company has maintained proper records showing full
particulars, including quantitative details and situation of fixed
assets.
b) As informed to us, the fixed assets have been physically verified by
the management at the reasonable intervals during the year and no
discrepancies were noticed on such verification.
c) No substantial part of the fixed assets has been disposed off by the
Company during the year.
2. a) As per the information furnished, the inventory has been
physically verified by the management at reasonable intervals during
the year. In our opinion, the frequency of verification is 'reasonable.
b) In our opinion, the procedures for physical verification of
inventory followed by the management are reasonable and adequate in
relation to the size of the Company and the nature of its business.
c) In our opinion and according to the information and explanations
given to us, the Company is maintaining proper records of inventory and
no material discrepancies were noticed on physical verification of
inventory as compare to book records.
3. a) The Company has granted interest free unsecured loans to two
companies covered in the register maintained under Section 301 of the
Act. The maximum amount involved during the year and the year-end
balances of such loans were Rs.5,90,68,592 and nil respectively.
b) In our opinion, the interest free nature and other terms and
conditions of the aforesaid unsecured loans granted by the Company are,
prima facie, not prejudicial to the interest of the Company.
c) In respect of the aforesaid unsecured loans, the said companies are
regular in repayment of principal amount as stipulated.
d) There is no overdue amount in respect of the aforesaid unsecured
loans granted by the Company.
e) The Company has taken interest free unsecured loans from a company
covered in the register maintained under Section 301 of the Act. The
maximum amount involved during the year and year-end balances of such
loans was Rs.1,00,00,000.
f) In our opinion and according to the information and explanations
given to us, the interest free nature and other terms and conditions on
which such loans have been taken are, prima facie, not prejudicial to
the interest of the Company.
g) The payment of the principal amount is as stipulated.
4. In our opinion and according to the information and explanations
given to us, there is an adequate internal control system commensurate
with the size of the Company and the nature of its business, for the
purchase of inventory and fixed assets and for the sale of goods and
services. During the course of our audit, we have not observed any
continuing failure to correct major weaknesses in the internal control
system.
5. According to the information and explanations given to us, we are
of the opinion that the particulars of contracts or arrangement
referred to in Section 301 of the Act have been entered in the register
required to be maintained under that section.
6. The Company has not accepted any deposits from the public within
the meaning of Section 58Aand 58AAof the Act and the Companies
(Acceptance of Deposits) Rules, 1975 during the year. Accordingly, the
provisions of clause 4(vi) of the Order are not applicable.
7. In our opinion, the Company has an internal audit system
commensurate with the size of the Company and nature of its business.
8. As informed to us, maintenance of cost records has not been
prescribed by the Central Government under section 209(1 )(d) of the
Companies Act, 1956 in respect of activities carried on by the Company.
9. a) According to the information and explanations given to us and
the records of the Company examined by us, in our opinion, the
Company is generally regular in depositing with the appropriate
authorities the undisputed statutory dues including Provident Fund,
Employees' State Insurance, Income Tax, Sales Tax, Wealth Tax, Service
Tax, Customs Duty, Excise Duty, Cess and any other material statutory
dues applicable to it and during the year except that there have been
delays in the payment of Service Tax, Tax Deducted at Source and Work Contractors Tax. No undisputed amounts payable in respect of aforesaid statutory dues were outstanding as at 31st March, 2011 for a period of
more than six months from the date they became payable.
B) According to the records of the Company, there are no dues of Income
Tax / Sales Tax / Wealth Tax / Service Tax / Custom Duty / Excise Duty
/ Cess which have not been deposited on account of any dispute except
the followings:

10. The Company's accumulated losses as at 31st March, 2011 is more
than fifty percent of its net worth. The Company has incurred cash
losses during the year and also in the immediately preceding financial
year.
11. In our opinion and according to the information and explanations
given to us, there exist no dues to any bank or financial institution
or debenture holders. Hence, the question of default does not arise.
12. According to the information and explanations given to us, the
Company has not granted any loans and advances on the basis
Of security by way of pledge of shares, debenture sore there securities.
13. In our opinion and according to the information and explanations
given to us, the nature of the activities of the Company does not
attract any special statue applicable to the chit fund and nidhi /
mutual benefit fund / societies.
14. In our opinion, the Company is not dealing in or trading in
shares, securities, debentures and other investments. Therefore, the
provisions of clause 4(xiv) of the Companies (Auditors Report) Order,
2003 are not applicable to the Company.
15. Accordingly to the information and explanations given to us, the
Company has not given any guarantee for loans taken by others from
banks or financial institutions.
16. According to the information and explanations given to us, the
Company has not obtained any term loan during the year.
17. On the basis of an overall examination of the Balance Sheet of the
Company, in our opinion and according to the information and
explanations given to us, no funds raised on short term basis have been
used long term investment during the year.
18. In our opinion and according to the information and explanations
given to us, the Company has not made any preferential allotment of
shares to parties and companies covered in the Register maintained
under Section 301 of the Act during the year.
19. Accordingly to the information and explanations given to us, the
Company did not have any outstanding debentures during the year covered
by this report or in the recent past.
20. The Company has not raised any money by way of public issues
during the year or in the recent past.
21. During the course of our examination of the books and records of
the Company, carried out in accordance with the generally accepted
auditing practices in India and according to the information and
explanations given to us, we have neither come across any instance of
fraud on or by the Company, noticed or reported during the year, nor
have we been informed of such case by the management.

1. We have audited the attached Balance Sheet of NATIONAL STANDARD
(INDIA) LIMITED as at 31st March, 2010, the Profit and Loss Account and
the Cash Flow Statement for the year ended on that date annexed
thereto. These financial statements are the responsibility of the
Companys management. Our responsibility is to express an opinion on
these financial statements based on our audit.
2. We conducted our audit in accordance with auditing standards
generally accepted in India. Those standards require that we plan and
perform the audit to obtain reasonable assurance about whether the
financial statements are free of material misstatement. An audit
includes examining, on a test basis, evidence supporting the amounts
and disclosures in the financial statements. An audit also includes
assessing the accounting principles used and significant estimates made
by management, as well as evaluating the overall financial statement
presentation. We believe that our audit provides a reasonable basis for
our opinion.
3. As required by the Companies (Auditors Report) Order, 2003 issued
by the Central Government of India in terms of Section 227 (4A) of the
Companies Act, 1956, (hereinafter referred to as the Act) and on the
basis of such checks as we considered appropriate and according to the
information and explanations given to us during the course of audit, we
annex hereto a statement on the matters specified in paragraphs 4 and 5
of the said Order.
4. Further to our comments in the Annexure referred to paragraph 3
above, we report that:
a) We have obtained all the information and explanations which to the
best of our knowledge and belief were necessary for the purposes of our
audit;
b) In our opinion, proper books of account, as required by law, have
been kept by the Company so far as it appears from our examination of
those books;
c) The Balance Sheet, Profit and Loss Account and Cash Flow Statement
dealt with by this report are in agreement with the books of account;
d) The Balance Sheet, Profit and Loss Account and Cash Flow Statement
dealt with by this report have been prepared in compliance with the
Accounting Standards referred to in Section 211 (3C) of the Act, to the
extent applicable;
e) On the basis of written representation received from the Directors
as on 31s March, 2010 and taken on record by Board of Directors, we
report that none of directors is disqualified as on 31st March, 2010
from being appointed as a director in terms of Section 274 (1) (g) of
the Act on the said date;
f) In our opinion, and to the best of our information and according to
the explanations given to us, the said accounts read together with note
no. 11 regarding non-deposit of due amount of Rs. 63,199 with Investor
Education and Protection Fund as per the provisions of Section 205C of
the Act in Schedule 16 and other notes appearing in the said financials
give the information required by the Act and in the manner so required,
give a true and fair view in conformity with the accounting principles
generally accepted in India:
a) In the case of Balance Sheet, of the state of affairs of the Company
as at 31st March, 2010;
b) In the case of Profit and Loss Account, of the loss of the Company
for the year ended on that date; and
c) In the case of Cash Flow Statement, of the Cash Flows for the year
ended on that date.
Annexure referred to in our report of even date on the financial
statements for the Year ended 31st March, 2010 of NATIONAL STANDARD
(INDIA) LIMITED
1. a) The Company is in the process of updating its fixed assets
records to show full particulars including quantitative details and
situation of fixed assets.
b) All the fixed assets have been physically verified by the management
at reasonable intervals during the year, which in our opinion, is
reasonable having regard to the size of the Company and nature of its
fixed assets. The discrepancies, if any, as may be noticed which, in
the opinion of the management would not be significant, would be
adjusted on updation of fixed assets register.
c) The Company presently holds only leasehold land at Thane, Mumbai and
more fully explained in note no. 3 of the financial statements about
the Scheme of Arrangements de-merging Tyre Moulds business of the
Company which had been given effect to in financials of an earlier
year. Also, during the year the Company has sold / written off all of
its fixed assets pertaining to the bead wire Division at Mumbai. In our
opinion and to the information and explanation given to us, the
aforesaid sale /writing off may not affect the going concern assumption
in view of what is stated in note no. 5 and 12 though substantial part
of fixed assets have been sold /written off.
2. As the Company does not hold any inventory during the year.
Therefore, the provisions of clause (ii) of the said Order are not
applicable to the Company.
3. a) The Company has granted interest-free unsecured loans to three
companies covered in the register maintained under Section 301 of the
Act. The maximum amounts involved during the year and the closing
balances of such loans were Rs. 6,60,18,592 and Rs. 5,90,68,592,
respectively.
b) In our opinion, the interest-free nature and other terms and
conditions of the aforesaid unsecured loans granted by the Company are,
prima facie, not prejudicial to the interest of the Company.
c) In respect of the aforesaid unsecured loans, the said companies are
regular in repayment of principal amount as stipulated.
d) There is no overdue amount in respect of the aforesaid unsecured
loans granted by the Company.
e) The Company has taken interest-free unsecured loans from one
companies covered in the register maintained under Section 301 of the
Act. The maximum amount involved during the year and the closing
balances of such loans were Rs. 1,00,00,000 and Rs. 1,00,00,000
respectively.
f) In our opinion and according to the information and explanations
given to us, the interest-free nature and other terms and conditions on
which such loan has been taken by the Company, are prima-facie, not
prejudicial to the interest of the Company.
g) The payment of the principal amount is as stipulated.
4. In our opinion and according to the information and explanations
given to us subject to what is stated in para 7 below regarding the
Company not having an internal audit system, internal control system
needs to be strengthened to make it commensurate with the size of the
Company and nature of its business, for the purchase of inventory and
fixed assets and for the sale of goods and services. During the course
of our audit, we have not observed any continuing failure to correct
major weaknesses in such internal control system.
5. According to the information and explanations given to us, we are
of the opinion that the particulars of contracts or arrangement
referred to in Section 301 of the Act have been entered in the register
required to be maintained under that section.

the Act and rules framed there under.
7. The Company does not have an internal audit system.
8. According to the information and explanations given to us, the
